1. Acceptance of Terms

By accessing or using the MenuClips platform, website, mobile applications, or any associated services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes. We encourage you to review these Terms periodically to stay informed of any updates.

These Terms apply to all visitors, registered users, and any other persons who access or use the Service, including restaurant owners, managers, staff members, and end-user diners interacting with digital menus powered by MenuClips.

2. Description of Service

MenuClips is a cloud-based digital menu and ordering platform designed for restaurants and hospitality businesses. The Service includes, but is not limited to, the following features: digital menu creation and management, QR code generation for table-side ordering, customizable menu templates and branding, AI-powered ordering assistance, real-time menu updates, and analytics dashboards.

The Service is provided on an “as available” basis. We strive to maintain 99.9% uptime, but we do not guarantee uninterrupted access to the Service. Scheduled maintenance windows will be communicated in advance when possible. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

MenuClips may offer integrations with third-party services such as payment processors, point-of-sale systems, and delivery platforms. Your use of any third-party service is governed by that service’s own terms and conditions, and MenuClips is not responsible for the performance or availability of third-party integrations.

3. Account Registration

To access certain features of the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify MenuClips immediately of any unauthorized use of your account.

You may not create an account using false or misleading information, or on behalf of someone other than yourself without proper authorization. MenuClips reserves the right to suspend or terminate accounts that violate these Terms or that appear to be fraudulent, inactive for an extended period, or otherwise harmful to the Service or its users.

Each restaurant or business entity should maintain a single primary account. Additional user accounts may be created for staff members under the primary account, subject to your subscription plan limits. The primary account holder is responsible for the actions of all associated user accounts.

4. Subscription Plans & Billing

MenuClips offers a free tier with limited features and paid subscription plans with enhanced capabilities. Paid plans are billed on a monthly or annual basis, as selected at the time of purchase. Annual subscriptions are billed upfront for the full year at a discounted rate. All fees are quoted in US dollars unless otherwise specified.

Subscription fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy. If you cancel a paid subscription, you will retain access to paid features until the end of your current billing period. No partial refunds are issued for unused time within a billing period.

MenuClips reserves the right to change subscription prices with at least thirty (30) days’ prior written notice. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect.

Payment processing is handled by our third-party payment provider. By providing payment information, you authorize MenuClips and its payment processor to charge the applicable fees to your designated payment method. You are responsible for keeping your payment information up to date.

5. User Content

You retain full ownership of all content you upload, create, or display through the Service, including but not limited to menu items, descriptions, pricing, photographs, logos, and branding materials (collectively, “User Content”). MenuClips does not claim ownership of your User Content.

By uploading User Content to the Service, you grant MenuClips a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute your User Content solely for the purpose of providing and improving the Service. This license continues for as long as your User Content remains on the Service and for a reasonable period thereafter to allow for backup and archival processes.

You represent and warrant that you own or have the necessary rights and permissions to use and authorize MenuClips to use your User Content as described in these Terms. You are solely responsible for ensuring that your User Content does not infringe on the intellectual property rights, privacy rights, or other legal rights of any third party.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party’s use of the Service.

Specifically, you agree not to:

  • Use the Service for any illegal or unauthorized purpose, including but not limited to violating any local, state, national, or international law or regulation.
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or any underlying technology.
  • Scrape, crawl, or use automated means to collect data from the Service or other users’ menus without express written permission from MenuClips.
  • Upload or transmit viruses, malware, or any other malicious code that may harm the Service or its users.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

MenuClips reserves the right to investigate and take appropriate action against anyone who, in MenuClips’ sole discretion, violates this provision, including removing offending content, suspending or terminating the violator’s account, and reporting the violator to law enforcement authorities.

7. Intellectual Property

The Service, including all software, code, design, text, graphics, templates, AI models, algorithms, and other materials provided by MenuClips (collectively, “MenuClips Materials”), is owned by or licensed to MenuClips and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the MenuClips Materials without prior written consent.

Your brand assets, including your restaurant name, logo, and original creative content, remain your exclusive property. MenuClips will not use your brand assets for marketing or promotional purposes without your prior consent, except to display them within the Service as part of your digital menu and online presence.

If you provide MenuClips with feedback, suggestions, or ideas regarding the Service, you grant MenuClips a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.

8. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by applicable law, MenuClips, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service.

In no event shall MenuClips’ total aggregate liability to you for all claims arising out of or relating to the Service exceed the amount you have paid to MenuClips in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred US dollars ($100), whichever is greater.

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. MenuClips does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

10. Termination

Either party may terminate this agreement at any time. You may terminate your account by contacting our support team or using the account deletion feature in your dashboard settings. MenuClips may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your continued use poses a risk to the Service or other users.

Upon termination of your account, your right to access and use the Service will immediately cease. Your User Content will remain available for export for thirty (30) days following termination, after which it may be permanently deleted from our systems. We recommend exporting any data you wish to retain before or promptly after termination.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

11. Changes to Terms

MenuClips reserves the right to update or modify these Terms at any time. When we make material changes, we will notify you by email at the address associated with your account and by posting a prominent notice on the Service at least thirty (30) days before the changes take effect.

Non-material changes, such as clarifications or minor formatting updates, may be made without prior notice. The “Last updated” date at the top of these Terms will always reflect the most recent revision. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms.
